Agreement may be terminated by GSC upon at least fifteen days’ written notice.
In such an event, GSC agrees to return within ten (10) days (i) any prepaid fees for Use Periods scheduled to take place after such termination, and (ii) except to the extent drawn or entitled to be drawn in accordance with the provisions hereof, the security deposit.
Client may terminate this Agreement upon written notice given at least ten (10) business days prior to the Commencement Date, provided Client agrees and acknowledges in such notice that it shall forfeit the security deposit held by GSC in accordance with Section 3 of this Agreement.
Client may terminate this Agreement upon at least fifteen (15) days’ written notice given less than ten (10) business days before the Commencement Date, provided Client (i) agrees and acknowledges in such notice that it shall forfeit the security deposit, and (ii) includes payment in a form acceptable under Section 3 of this Agreement in the amount of any outstanding Total Fees plus fifty-percent (50%) of all License Fees for all remaining Use Periods, less any prepayment that shall be retained by GSC.
GSC agrees that after receipt of any amounts due under this Section 6, it will not seek further damages resulting from cancellation of the event(s) contemplated by this Agreement.
No fee or penalty shall be incurred by Client or GSC due to License Space closure from delays, disruptions, or cancellations due to inclement weather.
Client’s License is free for each Use Period due to inclement weather shall be reimbursed by GSC or added to the end of the Use Period.
